Partner Program Terms
These Partner Program Terms (the "Program Terms") govern participation in the Amóni Partner Programs offered by Netrouting B.V. and Netrouting, Inc. (together "Netrouting", "we", "us"). They apply in addition to the Netrouting Terms and Conditions and Acceptable Use Policy, which continue to apply to every service. Where these Program Terms and the Terms and Conditions conflict, these Program Terms prevail for matters of the program only.
1. Definitions
Program means the Amóni Partner Programs, consisting of the Reseller track, the Volume track, and Signature status. Partner means a customer enrolled in the Reseller track or the Volume track. Reseller means a Partner on the Reseller track. Volume Partner means a Partner on the Volume track. Amóni means the Netrouting customer platform at amoni.app. Tier means the level a Partner holds on the ladder described in section 4. MRR means monthly recurring revenue as defined in section 5. End Customer means a customer of a Reseller who uses services the Reseller obtains from Netrouting.
2. Tracks and eligibility
2.1 The Reseller track is for companies that resell Netrouting infrastructure to their own customers under their own brand and provide first-line support to those customers. Enrollment requires an application, business verification under section 3, acceptance of these Program Terms, and approval by Netrouting. Approval is at Netrouting's discretion and may be declined without giving reasons.
2.2 The Volume track is for customers that operate Netrouting infrastructure for their own products and do not resell it. Enrollment is by Netrouting on the customer's request or on Netrouting's initiative.
2.3 An account holds one program at a time. A customer that resells any Netrouting service is a Reseller, whether or not it also uses services for its own purposes. If a Volume Partner begins to resell, it must inform Netrouting and complete Reseller enrollment; the account's history and Tier are preserved.
2.4 Signature is a status granted by Netrouting to individual accounts by invitation. It is not a track, carries no discount, may be held together with any Tier or with no program at all, and may be withdrawn by Netrouting at any time. Its benefits are those listed in the invitation.
3. Verification and compliance
3.1 Resellers complete business verification (know-your-business) before activation and on Netrouting's request thereafter. Netrouting may suspend a Reseller whose verification lapses or cannot be completed.
3.2 Sanctions and export controls. Netrouting operates from the Netherlands and the United States and is bound by the sanctions and export control laws of the European Union, the Netherlands and the United States. The Reseller will not sell, provide or allow access to Netrouting services to any person, entity or territory that Netrouting itself could not lawfully serve under those laws, or for any use those laws prohibit. The Reseller meets this obligation through its own customer verification and screening procedures, proportionate to its business and its own legal obligations.
3.3 The Reseller passes the Netrouting Acceptable Use Policy through to its End Customers and remains responsible to Netrouting for their compliance. Abuse reports concerning an End Customer's service are handled by the Reseller within the times set in the Acceptable Use Policy.
4. Tiers, thresholds and discounts
4.1 Every Partner starts at Iron. Tiers, the MRR threshold for each, and the discount each gives on new orders are:
- Iron: enrolled, below €1,000 MRR. No discount. Setup fees at list.
- Bronze: €1,000 MRR and above. 10% off recurring charges. Setup fees at list.
- Silver: €5,000 MRR and above. 15% off recurring charges. 25% off setup fees.
- Gold: €15,000 MRR and above. 20% off recurring charges. 50% off setup fees.
- Platinum: €25,000 MRR and above. 30% off recurring charges. Setup fees waived.
4.2 The discount applies to every new order placed while the Partner holds the Tier. The rate earned on an order stays with that service for as long as the service runs. Services already running are not repriced when a Partner's Tier changes, in either direction.
4.3 The Tier is evaluated at the close of each calendar month from the Partner's MRR. A Partner that meets a higher threshold at month close holds the higher Tier from the first day of the following month. A Partner that is below its Tier's threshold at a month close holds the next Tier down from the first day of the following month. Netrouting may set a Tier by agreement with the Partner, for example at enrollment.
4.4 The Partner's Tier, rate card, and discount history are shown in Amóni. The rate card is the authoritative statement of the Partner's prices for new orders.
5. What counts as revenue
5.1 MRR is the net recurring amount invoiced for the Partner's services that are active and not more than seven days overdue at 23:59 on the last day of the month, normalized to a monthly amount for quarterly, semi-annual and annual billing, and converted to euros at Netrouting's monthly rate where invoiced in another currency.
5.2 Included: bare metal, cloud compute, colocation space and racks, IP space, IP transit and bandwidth commitments, network services, and managed services on those assets. Excluded, and not discounted: resold third-party licenses (including Windows, cPanel and Plesk), colocation power, and any one-time charge.
6. Ordering, pricing and invoices
6.1 Partner prices apply to orders placed in Amóni, on the Netrouting storefront, through the API, and by quotation. The discount is applied at order time at the Partner's Tier and shown on the invoice.
6.2 Items excluded under section 5.2 are invoiced at list price. Custom configurations are quoted individually.
6.3 Re-orders. A service canceled and re-ordered in substantially equivalent form within 60 days is priced at the rate of the original service. Netrouting reviews such cases individually.
6.4 Discount codes issued under the program are personal to the Partner's account and may not be shared or transferred.
7. Reseller obligations
7.1 The Reseller sells under its own brand and is the sole contractual counterparty of its End Customers. Nothing in the program creates a contract between Netrouting and an End Customer.
7.2 The Reseller provides first-line support to its End Customers. Netrouting supports the Reseller for hardware and network matters within Netrouting's services.
7.3 The Reseller may declare End Customers in Amóni for its own administration. Declaring End Customers does not give them access to Amóni or to Netrouting support, and does not transfer any obligation under section 3 to Netrouting.
7.4 The Reseller will not present itself as Netrouting, use Netrouting trademarks except as permitted in writing, or make commitments on Netrouting's behalf. Use of the "Powered by Amóni" mark is permitted in the form supplied by Netrouting and may be withdrawn on notice.
8. Volume track
Volume Partners hold the same Tiers, thresholds and discounts as Resellers under sections 4 to 6. Sections 3.2, 3.3 and 7 do not apply to Volume Partners. A Volume Partner may not resell, sublicense or otherwise make Netrouting services available to third parties as a service.
9. Price Lock
Partners may attach Price Lock to eligible orders under the Price Lock terms in force at the time of the order. The locked rate is the Partner's post-discount rate. Price Lock requires a separate executed agreement and is not part of these Program Terms.
10. Communication and support
Netrouting provides each approved Partner a shared Slack channel and an escalation contact. These channels are for the Partner's own staff. Support commitments, response times and service credits are those in the Terms and Conditions and the applicable service level agreement; the program adds no further service level.
11. Changes to the program
Netrouting may change the ladder, thresholds, discounts or benefits on 30 days' notice by email and in Amóni. Changes apply to orders placed after the change takes effect. Rates already earned on running services are not affected.
12. Suspension and termination
12.1 Either party may end participation in the program on 30 days' written notice. Netrouting may suspend or end participation immediately where the Partner breaches these Program Terms, the Terms and Conditions or the Acceptable Use Policy, where verification cannot be completed, or where continued participation would expose Netrouting to legal or regulatory risk.
12.2 On termination, no new orders are placed at partner rates. Running services continue under the Terms and Conditions at the rate earned when ordered, until canceled under those terms.
13. General
These Program Terms are governed by the law and forum stated in the Terms and Conditions applicable to the Partner's contracting entity. Netrouting B.V. contracts with customers in the European Economic Area and the rest of the world outside the Americas and Asia-Pacific; Netrouting, Inc. contracts with customers in the Americas and Asia-Pacific.
